Terms of Use

Effective 22 August 2026 · Version 2.0

These terms govern use of tely.ca, operated by Tely Solutions Inc., with its seat in Ottawa, Ontario, Canada. By accessing the site, you accept them. If you do not, please do not use it.

1 · Scope — what these terms do not cover.

These terms govern the website only.

Any provision of services — design, development, integration, hosting, support — is governed exclusively by a separate signed agreement between Tely Solutions Inc. and the client. Where the two conflict, that agreement prevails over these terms and over any site content.

Nothing on this site constitutes a contractual offer, a price commitment, a timeline commitment, or professional advice.

2 · Site content.

Provided for information and subject to change at any time without notice. Durations, methods and figures are indicative and become firm only after a scoping phase and a written proposal.

3 · Intellectual property.

Site content — the Tely name, logo, mark, visual identity, text, imagery and code remain the exclusive property of Tely Solutions Inc. or its licensors. Reproduction, adaptation or exploitation in whole or in part without prior written authorisation is prohibited.

Client deliverables — rights are allocated by the applicable services agreement. Absent contrary terms, Tely assigns rights in project-specific deliverables to the client upon full payment, while retaining ownership of its generic components, know-how, methods and reusable libraries.

Short quotation — quotation with visible attribution and a link to tely.ca is permitted for information or commentary.

4 · Acceptable use.

You agree not to disrupt, overload or compromise the operation or security of the site.

Not to attempt to access non-public areas, accounts or systems.

Not to systematically extract or scrape content, including by automated means, for model training or database reconstitution.

Not to use the site for unlawful, deceptive or infringing purposes.

Not to harvest contact details published on the site for unsolicited outreach.

5 · Communications.

Email is not end-to-end encrypted. Do not send us confidential or sensitive information by that channel before a secure one is in place, which we provide on request.

How we handle information you send us is described in our privacy policy.

6 · Third-party links.

The site may link to resources operated by third parties. Such links imply no endorsement, control or warranty. Access is at your own risk and subject to those parties' own terms.

7 · Availability and accuracy.

The site is provided “as is” and “as available”. We make reasonable efforts as to accuracy and accessibility but do not warrant freedom from error, omission or interruption, or fitness for a particular purpose.

8 · Limitation of liability.

To the extent permitted by applicable law, Tely Solutions Inc. is not liable for indirect, incidental, punitive or consequential damages, or for loss of profits, revenue, data or goodwill arising from access to or use of the site.

Total aggregate liability under these terms is limited to one hundred Canadian dollars (CAD $100).

Nothing here excludes or limits liability that cannot lawfully be excluded, including for gross negligence, wilful misconduct, personal injury, or where consumer protection law provides otherwise.

9 · Indemnity.

You agree to indemnify Tely Solutions Inc. against claims, damages and reasonable costs arising from use of the site in breach of these terms or of the law.

10 · Changes and suspension.

We may amend these terms at any time. The version that applies is the one published on this page at the date of your access; the effective date appears there. We may also suspend or discontinue access, in whole or in part, without notice.

11 · Governing law and jurisdiction.

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. The courts of the Judicial District of Ottawa have exclusive jurisdiction, subject to the mandatory protections available to consumers and to residents of Quebec, who retain the right to bring proceedings before the courts of their domicile.

Language — these terms are provided in French and English. Both versions are authoritative.

12 · General.

Severability — the invalidity of one provision does not affect the validity of the others.

No waiver — failure to rely on a provision is not a waiver of it.

Entire agreement — these terms constitute the entire agreement as to use of the site, excluding any separate services agreement.
